Bu tebliğ ile anonim ortaklığın örgütsel yapısını ve ortaklık içi ilişkileri düzenleyen temel belge olan esas sözleşme bağlamında irade özerkliğinin sınırlarının çizilmesi amaçlanmıştır. Tebliğde, öncelikle özel hukukta ve ortaklıklar hukukunda sözleşme özgürlüğünün konumu ele alınmış; ardından esas sözleşme özgürlüğü çeşitli açılardan irdelenmiştir. Ayrıca esas sözleşme özgürlüğünün sınırlarına ve 6102 sayılı Türk Ticaret Kanunu ile ilk kez hukukumuza giren emredici hükümler ilkesine odaklanılmıştır. Bu kapsamda ilkenin amaçları, tarihçesi, karşılaştırmalı hukuktaki durumu, anlamı, kapsamı ve yaptırımına değinilmiştir.
